Terms of Service

1. Acceptance of Terms

By accessing or using Ad Superpowers ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and subscribers.

Provider: The Service is provided by AdSuperpowers.ai, registered at Noorddijk 21, 1521 PC Wormerveer, Netherlands, Chamber of Commerce (KvK) number 70810419. References to "we", "us", or "Ad Superpowers" in these Terms refer to this entity.

2. Nature of the Service

Ad Superpowers operates in the rapidly evolving AI and advertising technology landscape. The platforms we integrate with (Meta, Google, LinkedIn, TikTok) regularly update their APIs, policies, and capabilities. Similarly, the AI assistants and protocols (MCP) that our Service relies on are under active development. As a result:

  • Features, tools, and integrations may be added, modified, or removed as underlying platforms and protocols evolve
  • We continuously improve the Service based on user feedback, platform changes, and new capabilities in the AI ecosystem
  • Temporary disruptions may occur when third-party platforms change their APIs or enforce new policies
  • We will notify users of material changes to the Service via email or dashboard notice

By using the Service, you acknowledge that Ad Superpowers depends on third-party platforms and AI infrastructure that are outside of our control, and you accept the inherent variability that comes with operating at the intersection of advertising platforms and AI technology.

3. Description of Service

Ad Superpowers is a Software-as-a-Service (SaaS) platform that provides:

  • Integration with advertising platforms (Meta Ads, Google Ads, LinkedIn Ads, TikTok Ads)
  • Integration with analytics platforms (Google Analytics, Google Search Console)
  • Integration with tag management platforms (Google Tag Manager)
  • MCP (Model Context Protocol) server access for AI assistants
  • API access for programmatic integration

The Service enables AI assistants (like Claude, ChatGPT, Cursor) to access, analyze, and manage your marketing data and platform configurations on your behalf. This includes both read operations (viewing data and reports) and write operations (creating, updating, or publishing changes) when you explicitly instruct your AI assistant to do so.

4. Account Registration

The Service is intended solely for business, professional, and commercial use. It is not offered to, and may not be used by, consumers acting outside their trade, business, craft or profession. By registering you represent and warrant that you are using the Service in the course of a business or profession.

To use the Service, you must:

  • Be at least 18 years old and have legal authority to bind the entity on whose behalf you are registering
  • Use the Service exclusively for business or professional purposes (the Service is not directed at consumers)
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Be responsible for all activities under your account
  • Not be located in, or a resident of, any country subject to EU or Dutch sanctions, or on any EU, UN, or OFAC restricted-party list

You must notify us immediately of any unauthorized use of your account.

5. Subscription and Payments

5.1 Subscription Plans

We offer multiple subscription tiers with varying features and limits. Current pricing is available on our website.

5.2 Founding Member Pricing

Early subscribers who sign up within the first 100 customers are eligible for Founding Member pricing:

  • 30% discount applied to all paid plans (Pro, Team, Enterprise)
  • Discount applies for the lifetime of your subscription
  • Discount remains valid even if you downgrade and re-upgrade
  • Founding Member status is non-transferable

Founding Member pricing is honored as long as:

  • Your subscription remains active (canceled subscriptions lose the benefit)
  • You maintain payment in good standing
  • The pricing structure remains substantially similar

5.3 Price Changes

We may change our pricing with 30 days' notice. For existing subscribers:

  • Grandfathering: Current subscribers maintain their plan price for 12 months after any price increase
  • Founding Members: Founding Member discounts apply to new pricing
  • Notification: Price changes will be announced via email and dashboard notice
  • Options: If prices increase, you may lock in current pricing by switching to annual billing before the change takes effect

5.4 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension

5.5 Trial Period

Every paid plan includes a 14-day free trial. A valid payment method is required to start the trial. During the trial, tool calls are capped at 200 regardless of the selected plan, and you have access to all platforms and features.

Automatic conversion to paid plan. By starting a trial and confirming your order with a payment-bearing action (e.g., clicking "Start trial and subscribe"), you expressly authorize us to charge your payment method for the selected plan at the end of the 14-day trial unless you cancel before the trial expires. You may cancel at any time during the trial from your billing dashboard with no charge. Pricing, billing interval, and cancellation instructions are shown to you at checkout before you confirm the order.

Trial terms may be modified or discontinued for future sign-ups at any time; changes will not retroactively affect an active trial.

5.6 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. No partial refunds are provided for unused time.

6. Acceptable Use

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Share your account credentials with others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service to build, train, or benchmark a directly competing product or service, except where such use is required to exercise rights granted by applicable mandatory law (e.g., interoperability rights under Directive 2009/24/EC)
  • Exceed your plan's usage limits through technical means
  • Resell access to the Service without authorization
  • Use automated scripts that negatively impact the Service
  • Violate the terms of service of connected platforms (Meta, Google, LinkedIn, TikTok, etc.)
  • Execute high-frequency write operations (e.g., rapid campaign creation, bulk budget changes, mass ad publishing) that may trigger fraud detection or rate limiting on connected platforms
  • Use the Service to circumvent platform-imposed spending limits, review processes, or safety mechanisms

7. Connected Platforms

When you connect third-party platforms to the Service:

  • You must have proper authorization to access those accounts
  • You remain subject to each platform's terms of service and are solely responsible for compliance with their policies, including but not limited to advertising policies, rate limits, automation restrictions, and acceptable use policies
  • We are not responsible for changes to third-party APIs
  • Access may be limited or unavailable due to third-party restrictions
  • You can disconnect any platform at any time
  • You select which specific accounts and containers to grant access to. We never access resources beyond your explicit selection
  • Connected platforms may independently impose rate limits, flag automated activity, or temporarily restrict your account if they detect unusual usage patterns, even when such activity originates through the Service

7.1 Write Operations

Some platform integrations support write operations (e.g., updating ad campaigns, creating or publishing Google Tag Manager tags, modifying Google Ads configurations, changing budgets, pausing or resuming campaigns, creating ads, duplicating ad sets). These operations:

  • Are only performed when you explicitly instruct your AI assistant to do so
  • May have immediate, live effects on your connected platforms (e.g., publishing a GTM container version makes changes live on your website, changing a campaign budget immediately affects ad spend)
  • Are your sole responsibility. You should review all changes before confirming actions that affect production environments, advertising budgets, or live campaigns
  • Cannot be reversed by Ad Superpowers. You are responsible for managing rollbacks through the respective platform
  • Ad Superpowers is not liable for any consequences resulting from write operations you initiate, including but not limited to changes to live advertising campaigns, published tag configurations, budget modifications, ad creation or duplication, audience targeting changes, or any resulting financial impact including but not limited to overspending, lost revenue, or wasted ad spend
  • May be subject to rate limits and safety thresholds imposed by both Ad Superpowers and the connected platform. Exceeding these may result in temporary restrictions on your connected platform account, for which Ad Superpowers bears no responsibility

7.2 Platform Compliance

You are solely responsible for ensuring that your use of the Service complies with the terms of service, advertising policies, and acceptable use policies of each connected platform. This includes but is not limited to:

  • Rate limits and automation policies: Connected platforms (particularly Meta Ads) may impose rate limits on API calls and may flag or restrict accounts that exhibit high-frequency automated activity. You are responsible for monitoring your platform accounts for any warnings or restrictions.
  • Advertising content policies: You are responsible for ensuring that any ads created, modified, or published through the Service comply with the advertising policies of the target platform.
  • Account security: If a connected platform suspends, restricts, or bans your account due to activity originating through the Service,Ad Superpowers is not liable for any resulting damages, including loss of advertising access, data, or revenue.
  • Financial responsibility: You are solely responsible for all advertising spend, budget allocations, and financial commitments made through the Service. Ad Superpowers does not monitor, cap, or guarantee the financial outcomes of any actions taken through the Service.

7.3 AI-Generated Content and Recommendations

The Service uses large language models (LLMs) and other AI systems to generate recommendations, analyses, ad copy, and reports. AI output is probabilistic and may contain errors, omissions, outdated information, or fabricated details ("hallucinations"). AI output does not constitute professional marketing, legal, tax, or financial advice.

You are solely responsible for reviewing, verifying, and approving any AI-generated content or recommendation before relying on it, publishing it, or acting on it (including, in particular, any write operation as defined in Section 7.1). Ad Superpowers makes no warranty as to the accuracy, completeness, or suitability of AI output and bears no liability for your reliance on it.

8. API and MCP Access

API and MCP access is provided subject to:

  • Rate limits based on your subscription tier
  • Fair use policies to ensure service availability
  • API key security requirements (no sharing, proper storage)
  • Usage monitoring for abuse prevention

We may suspend API access if we detect abuse or violation of these Terms.

9. Intellectual Property

The Service, including its code, design, and documentation, is owned by Ad Superpowersand protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

You retain all rights to your data. We claim no ownership over your advertising data or content.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, and subject to any mandatory statutory warranties that cannot be excluded, the Service is provided "as is" and "as available". We disclaim all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated output, and uninterrupted or error-free operation.

Nothing in this section excludes or limits our liability for intent (opzet) or conscious recklessness (bewuste roekeloosheid), for death or personal injury caused by our negligence, or for any other liability that cannot be excluded under Dutch or applicable mandatory law.

We do not guarantee that the Service will meet your specific requirements, that AI-generated recommendations will be accurate, or that third-party platform integrations will always be available. AI output is probabilistic and may be incomplete, outdated, or incorrect. You are responsible for reviewing AI-generated suggestions before acting on them.

11. Limitation of Liability

To the maximum extent permitted by applicable law, and except for liability that cannot be excluded or limited under Dutch law (including liability for intent, conscious recklessness, or death or personal injury caused by our negligence), Ad Superpowers shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from third-party platform changes or outages
  • Damages resulting from write operations you instruct the Service to perform, including changes to advertising campaigns, tag manager configurations, published container versions, budget modifications, ad creation or duplication, audience targeting changes, or any other platform modifications and their downstream effects
  • Damages resulting from AI-generated recommendations or actions taken based on insights provided by the Service
  • Financial losses resulting from overspending, underspending, misconfigured campaigns, incorrect targeting, or any other advertising decisions made using the Service
  • Account suspensions, restrictions, or bans imposed by connected platforms (Meta, Google, LinkedIn, TikTok, etc.) due to activity originating through the Service, including but not limited to rate limit violations, policy violations, or fraud detection triggers
  • Damages exceeding, in aggregate, the greater of (a) the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) five hundred euros (€500)

The limitations in this Section apply whether the claim is based on contract, tort (including negligence), statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

12. Indemnification

As a business user (see Section 4), you agree to defend, indemnify, and hold harmless Ad Superpowers and its officers, directors, employees, agents, and affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service, including write operations and their consequences
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of connected platform terms of service, advertising policies, or automation restrictions
  • Any claims by third parties (including connected platforms) arising from your use of the Service
  • Financial losses, advertising overspend, or account restrictions resulting from actions you initiated through the Service

13. Termination

We may terminate or suspend your account immediately, without notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay for subscriptions
  • Abuse the Service or its users

Upon termination, your right to use the Service ceases immediately. You may request your data within 30 days of termination.

14. Data Portability

You have the right to receive your personal data in a structured, commonly used, and machine-readable format. To export your data:

  • Navigate to Settings > Account > Export Data
  • Data will be provided in JSON format within 48 hours
  • Export includes: profile information, API keys, usage history, and audit logs
  • Connected platform credentials are NOT included (OAuth tokens are encrypted and cannot be exported for security reasons)

15. Data Protection and GDPR

Ad Superpowers processes personal data in accordance with the EU General Data Protection Regulation (GDPR, Regulation 2016/679), the Dutch Uitvoeringswet AVG, and any other applicable data-protection law. Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

15.1 Data Processing Agreement

Where Ad Superpowers processes personal data on your behalf (for example, data in connected ad accounts that relates to your customers or end-users), we act as a processor and you act as controller within the meaning of GDPR Art. 4. A signed Data Processing Agreement (DPA) is available on request by contacting contact@adsuperpowers.ai. Team and Enterprise customers receive a DPA as part of onboarding.

15.2 Sub-processors

We engage sub-processors to deliver the Service, including cloud infrastructure (Supabase, Upstash, Railway, Vercel), payment processing (Stripe), error monitoring (Sentry), product analytics (PostHog), customer support (Crisp), and email delivery (Resend). Connected advertising platforms (Meta, Google, LinkedIn, TikTok) are independent controllers, not sub-processors. A complete subprocessor list with locations and transfer mechanisms is available in our Privacy Policy. We notify customers of material sub-processor changes at least 30 days in advance where feasible.

15.3 International Transfers

Where personal data is transferred outside the European Economic Area, we rely on appropriate safeguards under GDPR Art. 46, including the EU Standard Contractual Clauses (2021/914) and, where relevant, the EU-US Data Privacy Framework.

16. Service Availability

16.1 Uptime Target

We target 99% monthly uptime for the Service. This is a goal, not a guarantee. We do not provide a formal Service Level Agreement (SLA) for Pro or Team plans. Custom SLA terms are available for Enterprise customers upon request.

Service availability is monitored continuously. Current status and incident history are available at adsuperpowers.ai/status.

16.2 Planned Maintenance

Service interruptions may occur for:

  • Scheduled maintenance (announced 24 hours in advance via the status page)
  • Emergency updates or security patches
  • Third-party platform API changes or outages (Meta, Google, LinkedIn, TikTok)
  • Updates to AI protocols (MCP) or authentication infrastructure

16.3 Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war, armed conflict, terrorism, civil unrest, governmental action, sanctions, labor disputes, internet or telecommunications failures, energy shortages, cyber-attacks or denial-of-service events, third-party platform outages or API changes (including Meta, Google, LinkedIn, TikTok), deprecation, rate-limiting, or withdrawal of upstream AI models or LLM providers, changes or discontinuation of the Model Context Protocol or similar interoperability standards, and revocation or suspension of credentials or access by any third-party service on which the Service depends.

17. Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. If you do not agree to the modified Terms, you may cancel your subscription before the effective date and receive a pro-rata refund of any prepaid fees for the unused period after the effective date. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. Non-material changes (e.g., clarifications, typo fixes, changes required by law) take effect immediately.

18. Governing Law

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Netherlands, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The competent courts of Amsterdam, the Netherlands have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, provided that we retain the right to bring proceedings against you in the courts of the country where you have your registered office or place of business in order to enforce our rights.

Nothing in this Section affects any mandatory rights that you may have as a consumer under the laws of your country of habitual residence, to the extent such rights cannot be waived by contract under EU Regulation 593/2008 (Rome I) or equivalent law. Because the Service is intended solely for business use (see Section 4), these consumer protections should not ordinarily apply.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

20. Survival

Sections that by their nature should survive termination will survive, including Sections 5.4 (outstanding fees), 6 (Acceptable Use), 9 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 15 (Data Protection), 18 (Governing Law), and this Survival clause.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, on written notice to you. Any attempted assignment in breach of this Section is void.

22. Feedback

If you send us suggestions, feature requests, bug reports, or other feedback about the Service, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and incorporate that feedback into the Service without obligation or compensation to you.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ad Superpowers regarding the Service.
